- Concentrated his practice on real estate finance and corporate transactions.
- Advised hospitality clients in the financing and refinancing, acquisition and disposition of hotel properties.
- Represented, among others, buyers and sellers of distressed real estate.
Hushmand Sohaili retired from the partnership in late 2020. He represented clients in the acquisition, disposition, sale/leaseback, exchange, financing and refinancing (including mezzanine debt) of commercial residential, retail, special use, industrial, hotel and gaming properties and related business. He advised luxury hotel owners of five-star hotels in the negotiation, documentation and restructuring of their hotel management agreements, and the purchase and sale of such luxury hotels as well as the documentation of new hotel loans and the restructuring of the same.
A significant part of Hushmand’s practice over the years involved representing buyers and sellers of distressed real estate. He worked with private equity investors and funds in purchasing real estate loans and mortgage pools. He also worked with clients in structuring and restructuring the real estate holdings of corporations and other legal entities and their investors. This included loan workouts, foreclosures and asset purchases and sales, in and out of bankruptcy, and with regard to the buyouts of partners.
Hushmand also represented private equity funds and similar investors in making highly leveraged loans to companies and restructuring the same in and out of bankruptcy, where a significant part of the assets of the companies are real estate.
He represented REITs and has handled UPREIT and DownREIT transactions. In the finance area, he has dealt with securitized capital market and institutional and non-institutional real estate financings.
