Biography
  • Practice encompasses on a wide spectrum of corporate transactions.

With more than 20 years of antitrust experience, Jen focuses her practice on mergers & (M&A) acquisitions, joint ventures (JVs) and other strategic transactions. Over the past 12 years, Jen has offered  the full suite of compliance-related services under the Hart-Scott-Rodino (HSR) Act, including counseling on the reportability of transactions under the HSR Act and the preparation and submission of HSR filings.

She has been a frequent author on many topics related to the HSR Act. She also counsels clients on merger review, including antitrust risk-shifting provisions, information exchange and restrictions on interlocking directorates.

Prior to joining Akin, Jen was an advisor at another large international firm. She focused on antitrust and regulatory matters, including counseling clients on merger reviews and investigations conducted by the U.S. Department of Justice (DOJ), the U.S. Federal Trade Commission (FTC), as well as HSR investigations.

Jen has counseled clients on the HSR reportability of transactions and prepared more than 100 HSR filings. She has assisted clients to determine premerger requirements with international competition authorities. Jen provides advice on merger matters and prepares HSR filings across a wide range of industries, including agriculture, consumer products, energy, food products, healthcare, pharmaceuticals, private equity, retail and travel.

Jen previously worked as a senior specialist legal editor on the antitrust team at Practical Law. While at Practical Law, she drafted merger control and HSR know-how resources, created automated HSR forms and built tools and other resources aimed at analyzing risk-shifting provisions in public merger agreements.

Jen earned her J.D. magna cum laude from Syracuse University School of Law. While in law school, she served as notes and comments editor of the Law Review and was the editor-in-chief of the Labor Lawyer (an ABA publication). She received an M.F.A. in creative writing from Sarah Lawrence College and a B.A. in English from Carleton College. Jen also held Series 7 and 63 licenses prior to attending law school.

Representative Work
  • Advised on the preparation of over 100 HSR forms in connection with acquisitions and JVs, including in acquisitions of exclusive licenses and in both strategic and financial acquisitions.  
  • Represented an individual in an HSR investigation before the FTC relating to an alleged failure to file.
