Jonathan works closely with emerging and existing real estate and credit fund managers. He advises on the formation, launch and operation of funds across investment structures, including closed-end, open-end and hybrid/evergreen strategies.
Jonathan has extensive experience bringing to market customized investment funds that are carefully tailored to the nature and liquidity profile of his clients, which include prominent credit fund managers and institutional investors. Jonathan routinely provides counsel to credit-focused asset managers and advises on issues specific to credit products.
Leveraging his deep understanding of the investment funds landscape, Jonathan delivers bespoke legal counsel to an esteemed roster of clients. He represents leading real estate and credit fund managers, fund sponsors, general partners (GPs) and limited partners (LPs), private equity funds and institutional investors, such as sovereign wealth funds, insurance companies, funds-of-funds and endowments, assisting them with their fund investments.
In recognition of his significant contributions and legal acumen, Jonathan was among only five attorneys in fund formation to be included on Law360’s 2023 list of Rising Stars, an honor bestowed upon those “whose legal accomplishments belie their age.”
Developing a deep familiarity with all aspects of his clients’ businesses through years of relationship building, Jonathan skillfully guides complex documents and questions through a client’s internal processes, marking him as an invaluable partner to sophisticated fund sponsors. He plays a crucial role in aiding the drafting of key documents and conducting negotiations with investors. Beyond his work in fund formation, Jonathan also applies his understanding of the regulatory landscape, providing clients with strategic advice to anticipate and navigate the changing legal environment.
- Represented TPG Angelo Gordon in the closing of its fourth European real estate fund, with $2.27 billion of capital commitments, supplemented by an additional $214 million in co-investment capital for its European real estate strategy.
- Represented TPG Angelo Gordon in the fundraising of AG Asset Based Credit Fund LP with more than $1 billion of equity commitments. The fund received significant support from existing Angelo Gordon clients, as well as new institutional investors attracted to the firm’s demonstrated ability to generate value through private credit strategies globally.
- Represented TPG Angelo Gordon in the $2.75 billion formation of AG Realty Fund X. AG Realty Fund X seeks to identify off-market investment opportunities with a focus on sub-performing or distressed office, multifamily, retail, residential, hotel, for-sale housing, senior housing, self-storage and student housing assets.
- Represented Crayhill Capital Management in the closing of its third flagship fund, Crayhill Principal Strategies Fund III with approximately $1.31 billion of capital commitments, including $162 million of committed co-investment capacity, exceeding its $1 billion target.
- Represented Crayhill Capital Management in connection with the formation, structuring and negotiation of Crayhill Principal Strategies Fund II LP, a closed-end structured credit fund.
- Represented Crayhill Capital Management in connection with the formation, structuring and negotiation of Crayhill Structured Income Fund LP, a structured credit fund with evergreen annual series offerings, each structured as a closed-end fund.
