Biography
  • Represents private equity firms, financial institutions and other corporate and investment fund clients on complex transactions.
  • Delivers capital solutions involving a mix of debt, equity and hybrid structures.

Jonathon advises global private equity firms and other financial institutions on a broad array of transactions. He offers bespoke advice to investors seeking creative capital and liquidity solutions.

His practice encompasses leveraged buyouts, carve-outs, asset portfolio M&A, venture and growth capital investments, and joint ventures. Jonathon also advises on hybrid capital transactions tailored to his clients’ risk appetite and investment profile.

The Legal 500 UK recognized Jonathon as a Leading Lawyer in Private Equity: Transactions and Law.com International named him to the list of Private Equity Rising Stars: The Best Up-and-Coming Lawyers in the U.K. and Europe.

Jonathon has completed secondments at Apollo Global Management Inc. and the European Special Situations Group of Goldman Sachs.

Representative Work
  • Advised funds managed by affiliates of Apollo Global Management Inc. in:
    • The acquisition of a majority stake in Prosol Group, a multi-specialist in fresh food businesses and food retail in France.
    • The acquisition by Evri, an Apollo portfolio company, of DHL eCommerce U.K., the e-commerce logistics specialist of DHL Group.
    • The acquisition of Evri, one of the U.K.’s largest parcel delivery companies, from Advent International.
    • The acquisition and take-private of Purmo Group.
    • The successful launch of a 50:50 joint venture with illimity Bank S.p.A., aimed at investing up to €500 million in NPL and UTP loans secured by real estate assets in Italy.
    • Its agreement to acquire Miller Homes, one of the U.K.’s leading homebuilders.
  • Represented The Carlyle Group in:
    • A hybrid financing and investment into a U.K. sponsor-backed financial services business.
    • A hybrid investment by Bixby Wealth Solutions, an arm of Moontower Group (a specialist investor in independent wealth management firms backed by Carlyle’s Global Credit Business), in wealth manager James Hambro and Partners.
  • Represented Stonepeak on its agreement with the AA, the leading provider of roadside assistance services in the U.K. and a successful insurance business, and the AA’s majority shareholders, TowerBrook Capital Partners and Warburg Pincus. Per the agreement, Stonepeak will invest £450 million in the AA through a combination of common and preferred equity at an enterprise value of approximately £4 billion.
  • Represented a U.S. private equity sponsor in:
    • Its €3.17 billion carve-out acquisition of a global construction chemicals business from a German public company.
    • Its portfolio company’s bolt-on acquisition of a leading clay roof tile business in Portugal.
    • Its portfolio company’s multiple bolt-on acquisitions, including of one of the largest manufacturers of professional manual espresso machines in Spain and a leading manufacturer of coffee machines in North America.
    • The acquisition of a portfolio of loans secured on shipping vessels.
    • The acquisition of a portfolio of non-performing loans in Europe.
    • Its portfolio company on a series of U.K.-based hotel group acquisitions.
  • Advised Eldridge Industries, a leading investment firm and partner in Fulwell 73, in its merger with the SpringHill Company.
