Biography
  • Experience representing clients on renewable energy and infrastructure transactions.
  • Advises on the development, financing, acquisition and sale of energy transition assets.

Josh is a senior associate in the corporate practice. He advises financial institutions, project sponsors and developers on a variety of United States and cross-border project finance and development transactions, with an emphasis on renewable and clean energy technologies.

Prior to joining Akin, Josh was a senior associate in the energy and infrastructure group at another leading global law firm in New York. He also served as an associate at a New York-based firm and served as the law clerk to the Honorable Louis S. Sceusi, J.S.C. (Ret.), in the Superior Court of New Jersey, Morris Vicinage. Josh’s experience includes legal internships at the U.S. Environmental Protection Agency and the U.S. District Court for the Southern District of New York.

Josh received his J.D., magna cum laude, with a Certificate in Environmental Law from Elisabeth Haub School of Law at Pace University, where he served as Articles Editor for the Pace Environmental Law Review. He holds a B.A., summa cum laude, with a double major in environmental studies and economics from Bucknell University.

Representative Work
  • A private equity firm: Advised the firm as purchaser on an approximately $11 million investment tax credit transfer transaction for a utility-scale wind generation project and associated infrastructure in Tunica County, Mississippi. The project is Mississippi’s first utility-scale wind farm.
  • A private equity firm: Advised the firm as purchaser on an approximately $112 million investment tax credit transfer transaction for two utility-scale solar and storage projects in Kern and Los Angeles Counties, California.
  • Elia Group SA/NV: Advised on its acquisition, through Elia Group’s wholly owned subsidiary WindGrid USA LLC, of a 35.1% stake in energyRe Giga Projects, a subsidiary of energyRe LLC, the proceeds of which will be used to fund renewable U.S. transmission and energy generation projects, including offshore wind.
  • Osaka Gas USA: Advised on its partial refinancing and restructuring of existing project-level debt and additional mezzanine debt totaling approximately $370 million for a combined-cycle gas-fired power plant.
  • Golden State Clean Energy: Advised on securing and refinancing a debt facility for various early-stage construction solar projects in California.
  • Gateway Development Commission: Advised the bi-state partnership, involving the State of New York, the State of New Jersey, New Jersey Transit, Amtrak and the Port Authority of New York and New Jersey, on all aspects of the construction procurement and financing of its comprehensive $30 billion Hudson Tunnel Project investment program to replace and update rail infrastructure assets along the Northeast Corridor and increase track, tunnel, bridge and station capacity.
  • A major financial institution: Advised on its tax equity investments in various utility scale solar, stand-alone storage, combined solar and storage and portfolios of distributed generation assets.
  • An investor: Advised in connection with its acquisition of an interest in a portfolio of over 20 operating wind projects across North America, including related partnership, financing and energy hedge matters.
  • A leading global bank: Advised in connection with the tax equity financing of two facilities with a combined capacity of 463 MW solar and 185 MWh of battery storage in Riverside County, California.
  • ENGIE North America, Inc.: Advised the French multinational utility on its proposed acquisition of Texas-based battery storage company Broad Reach Power, LLC, a portfolio company jointly owned by EnCap Energy Transition and Apollo Infrastructure funds, for a total equity value of more than $1 billion.
  • Duke Energy: Advised on the sale of a minority interest in a multibillion-dollar portfolio of operating wind, solar and battery projects.
  • General Motors Co.: Advised on all environmental permitting and wildlife risks and requirements in a $650 million equity investment with Lithium Americas Corp. to develop the Thacker Pass mine in Nevada, the largest known source of lithium in the U.S. and the third largest in the world.
  • An automaker: Advised on the largest-ever investment by an automaker to produce battery raw materials and support production of up to one million electric vehicles per year.
  • Attentive Energy One, a joint venture between TotalEnergies, Corio Generation and Rise Light & Power: Advised on its offshore renewable energy credit applications and proposals for both New York and New Jersey state solicitations, and advised on federal and state statutes, regulations and policies for such solicitations.
  • Various New Jersey municipalities and county public entities: Advised on solicitations for electric vehicles charging infrastructure projects and solar projects.
  • A solar developer: Advised on the sale of its various distributed generation solar arrays and advised same on general Engineering, Procurement and Construction (EPC), Operation and Maintenance (O&M), offtake and Renewable Energy Contracts (REC) arrangements.
  • A New Jersey municipality: Advised on general township counsel capacity.
  • Various New Jersey municipalities: Advised on redevelopment counsel capacity.
