Experience representing public and private issuers, as well as private equity and other investors.
Advises on corporate governance, shareholder activism, securities compliance and Securities and Exchange Commission (SEC) reporting issues.

Josh is a corporate counsel in Akin’s New York office. Josh advises public and private companies and investors in a wide range of commercial transactions, including offerings of preferred and convertible securities in addition to alternative financing transactions, including private investments in public equity (PIPEs).

Josh also regularly advises on distressed and other special situations, recapitalizations and restructurings, corporate governance and shareholder activism.

Prior to joining Akin, Josh was a tax associate in Toronto at one of Canada’s leading law firms. He also clerked for the Manitoba Court of Appeal.

Representative Work

Advised Vista Credit Partners in its $125-million financing of Arcadia, a leading health care data analytics platform.
Represented FTAI Infrastructure Inc. in its public offering of $450 million of senior secured notes and concurrent private placement of $300 million of preferred equity.
Advised Brookfield Asset Management Inc., an Ontario corporation, in its acquisition of all of the limited partnership units of Brookfield Property Partners LP, a Bermuda limited partnership (BPY), by way of an Ontario court-approved plan of arrangement, representing a total consideration of $6.5 billion payable to the unitholders of BPY other than Brookfield and its affiliates. *
Represented Brookfield Asset Management Inc. in its public offering of $1 billion of senior notes. *
