• Advised Hangzhou SF Intra-city Industrial Co., Ltd. on ongoing corporate, financial reporting, corporate governance reporting and Listing Rules compliance matters.*
• Advised China International Capital Corporation Hong Kong Securities Limited and Citigroup Global Markets Asia Limited as joint sponsors in the HK$996 million listing of China’s leading agricultural company, Dekon Food and Agriculture Group (2419.HK), on the Main Board of the Stock Exchange of Hong Kong Limited (SEHK ).*
• Advised S.F. Holding Co., Ltd. on its application to the Hong Kong Exchanges and Clearing Limited (HKEX ) for approval of its proposed spin-off of its REITs on the SZSE.*

Financial Restructuring

• Advised an ad hoc group of lenders in the chapter 11 cases of Marelli, a Japan-based multinational automotive supplier, involving $4.9 billion in liabilities.
• Advised a Japanese bank as agent to a bank syndicate in relation to a term green loan provided to a global paper products manufacturing company for purposes under its green loan framework, the first privately held company in Hong Kong to obtain the Green Finance Certificate and to complete a Green Loan.*
• Advised a Chinese bank on debt enforcement in respect of a revolving loan of up to $ 1 billion.*
• Advised a global oil and gas company as borrower in respect of a bridge facility and a reserves-based lending facility of up to $200 million with a bank syndicate in Singapore.*
• Advised a Hong Kong-based asset management company offering private credit to a financing company focused on providing financing to asset-light businesses.*
• Advised a Hong Kong-based real estate private credit investment management firm in respect of a sale and purchase of shares with repurchase option, alongside a back-to-back financing provided to it by investors.*
