Biography
  • Advises on projects & energy transition matters involving the development, structuring and financing of energy & infrastructure assets.
  • Represents private equity sponsors, energy developers and investment platforms in project-related transactions, including joint ventures, minority investments and related commercial arrangements.
  • Experience negotiating project-level and commercial agreements supporting large-scale energy and energy transition projects.

Matthew advises sponsors, management teams and energy clients on transactional matters related to the development, acquisition, operation and financing of energy & infrastructure projects. His experience includes work across energy transition, liquefied natural gas, midstream, downstream and carbon capture assets.

Prior to joining the firm, Matthew advised clients on corporate and energy-focused transactions with an emphasis on private mergers and acquisitions and joint ventures. He also served on secondment supporting midstream energy operations through the drafting and negotiation of commercial and project development agreements.

Representative Work
  • Represented Wolf Carbon Solutions in its divestiture of a portfolio of carbon sequestration assets for an undisclosed purchase price, inclusive of earnout structures.
  • Represented Informa PLC in its acquisition by merger of a 57% equity position in TechTarget for approximately $1 billion.
  • Represented Southern Company in its acquisition and expansion of a 200 megawatt (MW) solar energy production project which included earnout mechanisms upon the phased development of an additional 100 MWs, for an undisclosed purchase price. Representation included drafting of project-level agreements to develop the additional 100 MW of expansion and the associated power purchase agreements.
  • Represented SER Capital Partner’s portfolio company Perfect Power in its exit sale of its California based battery energy storage systems (BESS) projects, comprising five sites for an undisclosed purchase price.
  • Represented the national electric energy company of a major South American country in its first proposed investment into renewable energy projects in the United States.
  • Represented Karoon Energy in its first investment in the Gulf of Mexico in an all-asset acquisition deal valued at approximately $760 million, including drafting and negotiating agreements to develop new assets and infrastructure.
  • Represented American Bureau of Shipping in a major divesture of its technical inspection service line.
  • Represented SER Capital Partners’ portfolio company Perfect Power in its sale of eight of its BESS projects to Gore Street.
  • Represented TotalEnergies in its joint venture with Vanguard Renewables to establish a portfolio of renewable natural gas production facilities.
  • Represented TotalEnergies in its joint venture minority investment in the NextDecade Rio Grande Liquefaction Facility to develop liquefaction trains 1, 2 and 3, a project valued at approximately $18 billion.
  • Represented TotalEnergies in its joint venture minority investment in the NextDecade Rio Grande Liquefaction Facility to develop the fourth liquefaction train for an undisclosed purchase price.
  • Represented ExxonMobil in a joint venture with a large foreign energy company to develop and operate a substantial carbon sequestration project.
  • Represented Woodside Energy in its sale of minority positions in a joint venture to develop a blue and gray ammonia production facility.
  • Represented a major commodities trading company in its joint venture with a national mining company to develop a rare earth minerals project.
  • While seconded to Occidental Petroleum’s midstream group (OEMI) drafted, negotiated and revised a multitude of oil, natural gas liquids (NGLs), gas and carbon sequestration commercial contracts.
  • Represented Karoon Energy in the procurement of gas and liquids gathering and transport services for its Gulf of Mexico operations.
  • Represented a specialty chemicals production company in its production and sales commercial agreements.
  • Represented Apache Corporation in its acquisition of development rights and entry into a joint development agreement for development of oil & gas production on Alaska’s north slope with a transaction value of approximately $210 million.
