Sahar advises clients on a broad range of debt capital markets and finance transactions using both conventional and Islamic finance structures.
Sahar also advises clients on data protection, privacy, artificial intelligence (AI) and cybersecurity matters, specifically focusing on UK, European Union (EU) and Middle East legislation and regulation.
She completed her training contract in the firm’s London office, during which time she undertook a six month secondment to the firm’s Dubai office. She was awarded Most Promising Newcomer at the Law.com Middle East Legal Awards and received an honourable mention in the Rising Star of the Year – Private Practice category at the LexisNexis Middle East’s 2024 Women in Law Awards. She has also been recognised by The Legal 500 EMEA for Capital Markets and Banking & Finance (UAE).
Sahar is a London office Pro Bono Scholar and maintains an active pro bono practice.
Capital Markets and Finance
- Advised Türkiye’s sovereign wealth fund, Türkiye Varlık Fonu (TWF), as guarantor, and TVF İFM Gayrimenkul İnşaat ve Yönetim A.Ş., as obligor, on the issuance of $750 million Lease Certificates due 2030 by TVF Varlık Kiralama A.Ş, representing the first international sukuk issuance by a Turkish corporate.
- Advised Türkiye Petrolleri Anonim Ortaklığı (TPAO), Türkiye’s state oil and gas company, on the establishment of its $4 billion trust certificate issuance program and the successful completion of its inaugural $1 billion lease certificates issuance.
- Advised Türk Telekom on its inaugural $600 million senior unsecured lease certificates issuance, representing a first‑of‑its‑kind transaction by a Turkish telecommunications company using a novel structure, as well as on its $600 million green bonds issuance.
- Advised Ziraat Katilim Bankasi A.S. on its debut international issuance of $500 million lease certificates by Ziraat Katilim Varlik Kiralama A.S, representing the first international issuance by a state-owned participation bank in Türkiye.
- Advised Kuveyt Türk Katilim Bankasi A.S. on the landmark issuance of US$350 million of fixed-rate resettable sustainability Tier 2 certificates, representing the world’s first sustainable regulatory capital sukuk issuance.
- Advised Warba Bank K.S.C.P. on the establishment of a $2 billion trust certificate programme by Warba Sukuk Limited and the issuance of $500 million sustainable trust certificates due 2029, representing the first-ever sustainable Sukuk issuance out of Kuwait.
- Advised Capital Investments (DIFC) Ltd. and Capital Investments and Brokerage Company / Jordan Ltd. on Capital Bank of Jordan’s inaugural $100 million Reg S perpetual Basel III-compliant additional tier 1 capital securities offering, the first such issuance out of Jordan.
- Advised Albilad Capital on the updates and drawdowns under the SAR400 million and SAR500 million Sukuk issuance programme of Morabaha Marina Financing Company and Maalem Financing Company, respectively.
- Advised Albaraka Turk Katilim Bankasi A.S on the establishment of a $1 billion sukuk programme listed on the ISM and multiple issuances thereunder, representing the first ever international public sukuk program by a Turkish participation bank.
- Represented the financier on a complex, multi-jurisdictional secured direct lending transaction involving a term loan facility to a global fashion house originating from the Middle East.
- Advised a number of Saudi Arabian entities on legal due diligence of their United Arab Emirates (UAE) operations in connection with a planned initial public offering (IPO) on the Saudi Stock Exchange (Tadawul).
