Akin Gump Advises Cimarex Energy Co. in Agreement to Acquire Resolute Energy Corporation

(Houston) – Cimarex Energy Co. and Resolute Energy Corporation today announced that Cimarex has entered into a definitive agreement to acquire Resolute in a cash and stock transaction valued at $35.00 per share, or a total purchase price of approximately $1.6 billion, including Resolute’s long-term debt of $710 million, as of September 30, 2018. Akin Gump advised Cimarex in the transaction, which was unanimously approved by both companies’ boards of directors.
The deal is expected to be completed by the end of the first quarter of 2019, subject to the approval of Resolute shareholders and the satisfaction of certain regulatory approvals and other customary closing conditions.
