Former SEC Division of Corporation Finance Lawyer Daniel Zimmerman Joins Akin Gump

(New York) – Akin Gump today announced that Daniel F. Zimmerman has joined the firm as senior counsel in its corporate practice in New York. Mr. Zimmerman previously served as an attorney in the Securities and Exchange Commission’s Division of Corporation Finance. Most recently, he was a senior attorney at Cadwalader, Wickersham & Taft.

Since moving into private practice, Mr. Zimmerman has advised public and private buyers and sellers in a variety of negotiated and contested domestic and cross-border acquisitions, securities offerings and other financings. He focuses on issues relating to securities regulation, corporate finance transactions, mergers and acquisitions, board and corporate governance matters, and SEC reporting and regulation. In addition, he counsels companies and investors on SEC and stock exchange reporting and compliance matters, including public company acquisitions, as well as on tender offers, proxy contests, and activist investor engagement and responses.

While at the SEC, Mr. Zimmerman worked on matters involving mergers and acquisitions, initial public offerings, debt restructurings, proxy solicitations, going-private transactions, resale registration statements and periodic reports. He also prepared responses to no-action requests.

“Dan’s extensive understanding of both the securities laws and the inner workings of the SEC is a tremendous asset,” said Kerry E. Berchem, head of Akin Gump’s corporate practice. “As the SEC prepares to undergo a leadership change, our clients’ needs for keen SEC insight will be in even greater demand, and I know they will benefit greatly from Dan’s informed perspective.”

“Akin Gump maintains a reputation for leading clients through some very complex corporate transactions,” said Mr. Zimmerman. “This was a great opportunity to join a top-tier team handling highly sophisticated securities matters, and I am delighted to be here.”

Mr. Zimmerman received his J.D. from Columbia Law School. He has an M.B.A. from Columbia Business School and a B.E. from Vanderbilt University.
