Biography
  • Focuses on the formation, structuring and operation of domestic and offshore private investment funds across closed-end, hybrid and evergreen strategies, with particular depth in real estate-focused funds targeting Asia and North America.
  • Counsels established and early-stage sponsors on every stage of the investment lifecycle, from fund launch through ongoing operations, including the negotiation and launch of separately managed accounts (SMAs), funds-of-one, co-investment vehicles, club funds and seeding arrangements.
  • Advises sponsors on joint ventures, reorganizations, strategic transactions and acquisitions of investment managers, and advises a broad investor base, including sovereign wealth funds (SWFs) and institutional investors on fund commitments, co-investments, venture capital investments and bespoke financing transactions.

Arthur focuses his practice on matters involving the formation, structuring and operation of domestic and offshore private investment funds, including private equity funds, hedge funds, credit funds, real estate funds and hybrid and evergreen vehicles. He delivers bespoke advice across every stage of the investment lifecycle, counseling sponsors on fund launch, capital raising and ongoing operations, and guiding investors through their fund commitments and co-investments.

Arthur regularly counsels managers raising real estate funds targeting Asia and North America pursuing value-add, core-plus, secondaries, credit and distressed real estate strategies across those regions, as well as managers raising credit funds and buyout funds across all geographies. His practice spans flagship closed-end vehicles, parallel and feeder structures and bespoke co-investment programs designed to accommodate sovereign, institutional and regional investor bases, including extensive experience advising on the formation and negotiation of separately managed accounts (SMAs), funds-of-one, co-investment vehicles, club funds and seeding arrangements, representing both sponsors and limited partners in negotiating and implementing these arrangements.

He also regularly advises institutional investors on investments in venture capital funds and direct opportunities, as well as on bespoke financing transactions structured to meet investor-specific objectives.

In addition to fund formation, Arthur has worked on joint ventures, reorganizations, strategic transactions and acquisitions of investment managers, helping clients structure and execute complex sponsor-level transactions and platform-building initiatives.

While in law school, Arthur served as a judicial intern for the Honorable Jane Roth of the U.S. Court of Appeals for the Third Circuit. Arthur also served as a law clerk for the Senate Committee on Finance, and prior to law school, worked for a lobbying group as a policy analyst specializing in tax and financial services issues.

Representative Work
  • Advised BGO, a leading global real estate investment advisor, in the final close of BentallGreenOak Asia IV, its flagship Asia-focused value-add real estate strategy, raising over $5.1 billion in total capital commitments for the fund and co-investment sidecars. The fund targets value-add opportunities in office, hospitality and logistics assets across Japan, South Korea, Australia and Singapore, and represents the largest closed-end capital raise in BGO's history.
  • Advised Mubadala Capital, the alternative asset management subsidiary of Mubadala Investment Company, in connection with the structuring and establishment of the consortium of funds and accounts advised by Mubadala Capital for the C$12.1 billion acquisition of CI Financial — a milestone transaction in Mubadala Capital's expansion into private wealth management.
  • Advised sponsors and limited partners on separately managed accounts (SMAs), funds-of-one, co-investment vehicles, club funds and seeding arrangements totaling over $1 billion in commitments.
  • Advises sponsors raising real estate funds targeting Asia and North America across value-add, core-plus, secondaries, credit and distressed strategies, including flagship vehicles, parallel structures and co-investment programs.
  • Advises sponsors raising credit funds targeting investments across all geographies, including rated note feeder structures designed to facilitate insurance company participation in private investment funds.
  • Counsels emerging and established sponsors on the launch of inaugural and successor closed-end, hybrid and evergreen funds across private equity, credit and real estate strategies.
  • Represents institutional investors in venture capital fund commitments, direct and co-investment opportunities, and bespoke financing transactions.
  • Advises fund sponsors and investors on Investment Advisers Act, AIFMD, Form PF and SEC marketing rule considerations, working in coordination with the firm's regulatory and tax teams.
  • Represents fund managers in joint ventures, internal reorganizations, strategic transactions and acquisitions of investment management businesses.
