Dallas Woodrum counsels U.S. and international clients on economic sanctions, export controls, outbound investment, compliance investigations and cross-border national security risk. He draws on more than a decade of experience across government and private practice, including senior leadership roles at OFAC.
As Assistant Director for Regulatory Affairs at OFAC, Dallas led the development of regulations, general licenses and other measures to implement U.S. sanctions. He also oversaw the development of regulations under the Guiding and Establishing National Innovation for U.S. Stablecoins (GENIUS) Act requiring stablecoin issuers to have effective sanctions compliance programs. While serving as acting Associate Director of OFAC's Office of Sanctions and Policy Implementation, he also regularly oversaw OFAC’s policy and licensing divisions.
As a Section Chief in OFAC's Enforcement Division, Dallas led sanctions investigations against companies in the digital currency, banking, consumer products, energy, and technology sectors, including numerous multi-million-dollar settlements. In this role, he also helped shape OFAC’s digital assets and emerging technology enforcement efforts and regularly conducted joint sanctions investigations with the U.S. Department of Justice, U.S. Department of Commerce’s Bureau of Industry and Security (BIS), and other federal law enforcement partners. His government experience also includes supporting the development of the CFIUS civil enforcement program and drafting enforcement-related regulations for the Outbound Investment Security Program.
Dallas advises clients across a broad range of industries on sanctions compliance, OFAC licensing, internal investigations, voluntary self-disclosures, export controls, transactional diligence and trade-related regulatory risks. He has extensive experience helping companies navigate complex and rapidly evolving national security and international trade requirements.
- Advising clients in a variety of sectors—including technology, banking, private equity, shipping, aerospace, life sciences, agriculture, energy, and consulting—on compliance with U.S. economic sanctions, export controls, outbound investment, anti-boycott and other international trade compliance laws.
- Leading investigations of U.S. economic sanctions and export controls violations, including responding to subpoenas from and negotiating settlements with government agencies.
- Conducting due diligence and negotiating contractual provisions to mitigate against international trade-related risks for mergers and acquisitions, financings and other corporate transactions.
- Obtaining sanctions and export licenses for clients, including significant licensing from OFAC to form a joint venture in Cuba to conduct cancer research and biotech product development and manufacturing, to provide travel-related services with respect to Cuba and provide certain emergency-response services in Russia and Cuba.
- Drafting sanctions, export controls and anti-corruption compliance plans, procedures and trainings tailored to individual companies’ risks and business operations.
