Matthew advises investment funds and multinational private and public companies on a wide variety of corporate tax matters, including domestic and international corporate, finance and funds transactions. He has a particular focus on UK and EU financial restructurings, investment fund structuring and related matters, which involve novel and complex UK and cross-border tax issues. Matthew advises on the design and implementation of tax-efficient structures to achieve the client’s commercial objectives.

Financial Restructurings

Cineworld: Advised the ad-hoc committee of creditors to the Cineworld Group in connection with its multi-jurisdictional Chapter 11 restructuring, involving circa US$4 billion in liabilities.
OQ Chemicals: Advised lenders to the OQ Chemicals Group, one of the world’s largest suppliers of oxo chemicals, in connection with the group’s recapitalisation, and amendment of its credit facilities.
GenesisCare: Advised an ad-hoc group of lenders to GenesisCare Group, a global healthcare provider specializing in cancer treatment, in connection with the lender-led Chapter 11 restructuring of its existing debt, and the separation of its Australian, US, UK, European and Asian business.
Fortenova: Advised Fortenova Group, the largest private employer in Croatia, in relation to a complex financial restructuring of its debt profile following the 2019 restructuring of the Agrokor Group.
Metrocentre: Represented the ad hoc group of noteholders of Metrocentre’s £485 million of debt in relation to a restructuring involving a transfer of the ownership of one of Europe’s largest covered shopping and leisure destinations, in Gateshead, U.K.
Nordic Aviation: Advised noteholders in the $6 billion restructuring of Nordic Aviation Capital Designated Activity Company (NAC), the largest lessor of regional aircraft in the world.
Nostrum: Advised the ad hoc committee of holders on the $1.125 billion financial restructuring of Nostrum Oil & Gas plc, an oil and gas company operating in Kazakhstan.

Investment Fund Structuring

Confidential matters: Advises a broad range of high-profile international investment fund clients in relation to fund establishment, tax-efficient investment holding structures, complex carried interest and remuneration arrangements, and related investment funds transactions.
CI Financial: Advised Mubadala Capital in connection with the acquisition of CI Financial, and related fund structuring matters, as part of a C$12.1 billion transaction marking a milestone in the expansion of the Mubadala Capital platform’s expansion into private wealth management
EEP/Stonepeak: Advised investment firms Energy Equation Partners and Stonepeak on the tax aspects of the investment management/fund structuring elements of their approximately €2.5 billion acquisition of a majority interest in JET Tankstellen Deutschland GmbH from Phillips 66.
Project A: Advised Project A Ventures Management on the establishment of its London office and provides ongoing support in relation to carried interest and remuneration arrangements.
EU Mortgage platform: Advised a leading U.S. hedge fund on the establishment of a highly novel Luxembourg-based investment structure with bespoke derivative arrangements, through which it invested in €690+ of Spanish mortgage assets and €180+ of U.K. mortgage assets.

Royalty Pharma: Advised Royalty Pharma on it’s successful US$2.5billion IPO and listing on the Nasdaq global select market, and RP Management in connection with its US$1.1billion sale to Royalty Pharma PLC and various corporate restructurings of the Royalty Pharma group.
Bugaboo: Advised Mubadala Capital on its acquisition of a majority stake in Bugaboo Group, a global market-leader in strollers and premium children’s consumer products.
Your.World: Advised Carlyle in connection with its strategic investment, alongside Ares Management Credit Funds (Ares), in leading European online solutions provider, Your.World.
Nexperia: Represented Nexperia on the US$177 million sale of the UK’s largest semiconductor manufacturing business to Vishay Intertechnology following UK regulatory intervention.
Fortenova: Represented Fortenova Grupa d.d., on the €615 million sale of its frozen food business, the Frozen Food Business Group, to Nomad Foods, owner of Birds Eye and Findus.
