- Represented Blackstone, a leading alternative investment manager, in its $1.6 billion acquisition of Hipgnosis Songs Fund and a catalog of more than 45,000 songs by artists such as the Red Hot Chili Peppers, Journey and Shakira, and in its ABS of such assets.
- Represented Universal Music Group, a leading music-based entertainment company, in its $240 million investment in Chord Music Partners, a portfolio of music assets.
- Represented Blackstone in its transformative partnership with Hipgnosis Song Management to deliver c.$1 billion to acquire and manage song catalogues, with follow-on catalogue purchases from iconic artists, including Kenny Chesney, Leonard Cohen, Erika Ender, Justin Timberlake, TMS, Nelly Furtado and Justin Bieber.
- Represented Providence Equity Partners, a leading private equity firm, in its investment in Wasserman, a sports, music and culture agency.
- Represented DistroKid, the world’s leading distributor of independent music and portfolio company of Silversmith Capital Partners, in its substantial investment from Insight Partners.
- Represented Alpha Wave Global, a global investment company, in its $100 million Series A preferred equity investment in a media and technology company focused on music, film, podcasting and creative services.
Financings
- Represented Francisco Partners in a growth investment comprised of tranche A and tranche B term loans that funded the combination of Hal Leonard and Muse Group, creating a leading global music platform.
- Represented East West Bank in a credit facility to Sound Royalties, a firm that provides funding to music creators against music royalties.
- Represented Seeker Music Group, a global independent music company, in its $267 million music ABS.
- Represented a confidential music publisher in connection with the amendment and restatement of its multimillion-dollar credit facility.
- Represented East West Bank in a senior secured revolving line of credit to 88rising, a music entertainment company focused on Asian and Asian American hip-hop and R&B.
- Represented HPS Investment Partners, a leading alternative investment manager, in connection with a loan to Kobalt Music Group, one of the world’s largest music publishers. Kobalt’s portfolio includes a diverse range of artists, including Childish Gambino, Elvis Presley, Foo Fighters, Paul McCartney, Stevie Nicks and The Weeknd.

- Representing clients in licensing transactions, both in B2B and B2C settings, including software and copyrights, trademarks, patents, know-how and data licensing.
- Representing both licensors and licensees in the commercialization and licensing of music and audiovisual assets.
- Counseling clients in the emerging media, entertainment and advertising industries, including website and mobile application developers, over-the-top (OTT) service providers, digital advertising and e-commerce businesses.
- Represented Reservoir Media, an independent music company, in connection with license and structuring matters.
Disputes & Advocacy
- Representing a major talent agency in a high-profile force majeure action involving multiple artist clients following the cancellation of a music festival event due to COVID-19.
- Advocated on behalf of a Korean fashion company in a high-profile action against individuals for fraud and breach of contract claims relating to a number of world-renowned musicians and artists.
- Represented a major live entertainment company in consumer class actions alleging fraud related to the sale and distribution of concert tickets, as well as alleged violations of the Telephone Consumer Protection Act.
- Advised the National Independent Venue Association (NIVA), an association of more than 2,500 independent music clubs, to organize and call for federal help while forced to shut down due to COVID-19.
