Akin Gump has one of the world’s largest teams focused on motion picture and media finance. This includes the representation of virtually all the major lending institutions providing industry financing, as well as borrowers in multiple-picture production financings.
On the borrower’s side, the group’s experience comprises negotiating working capital facilities for production companies involving multiple-picture distribution and/or output arrangements; public and private placements of debt and equity; foreign tax-advantaged funds; securitizations; pre-sales of media and territorial rights; and foreign sale and leaseback deals. Akin Gump’s varied work in this area encompasses some of the most complex motion picture financings ever accomplished.
Our representation of banks and other lenders has included counseling financiers and co-financiers in: financing of television product; single-picture financing transactions of $1 million to $150 million; working capital revolving loan facilities for entertainment companies; financing the acquisition of film libraries and other media assets; and international acquisitions of rights/financing, which often raise complex international copyright and perfection issues that require innovative solutions.
Akin Gump plays a prominent role in creating innovative financial instruments for borrowers, lenders, investors and third parties such as suppliers, licensors and licensees. The entertainment and media industry group’s asset-based financing experience includes representing a studio in the development of an off-balance-sheet studio-financing tool that expanded the client’s capacity to finance its production slate, and representing a lender in structuring an inventive securitized off-balance-sheet facility for motion picture production.
