    • The acquisition of an interest in a Brazilian FIP dedicated to a Brazilian toll road investment platform as a co-investor with Farallon Capital.
    • The acquisition of Atvos Agroindustrial, a sugar and alcohol company.
  • Represented Paine Schwartz Partners in the sale of its portfolio company AgBiTech, a Brazilian biological insect control solutions company, to BASF Agricultural Solutions.
  • Represented Prisma Medios de Pagos, Argentina’s largest payment processing company, in its sale to Advent International.
  • Represented Mission Produce, a global leader in the worldwide avocado business, in its purchase of a 50% agricultural joint venture in Peru.
  • Represented Imagina U.S. in its sale of certain sports media rights and three Spanish-language cable television networks to Hemisphere Media Group Inc., a Spanish media company that serves the U.S. Hispanic/Latino and Latin American markets.

Financial Restructuring

  • Counsel to the DIP lender and exit financing lender in the chapter 11 cases of GOL, a leading Brazilian low-cost airline, involving over $14 billion in liabilities.
  • Counsel to an ad hoc group of senior noteholders in the chapter 11 cases of Aeroméxico, Mexico’s flagship airline, involving $2 billion in liabilities.
  • Counsel to an ad hoc group of unsecured noteholders of TV Azteca, Mexico’s second-largest mass media company, involving $400 million of debt.
  • Counsel to an ad hoc group of lenders on the restructuring of Oi, the largest fixed telephone operator in Brazil and third largest telecommunications company in Latin America, involving $4.3 billion in liabilities.

Energy, Projects & Energy Transition

  • Represented Pan American Energy SL, a leading Latin American energy company, in its sale of certain non-operating interests in four blocks located within the Vaca Muerta shale play in Argentina's Neuquén Basin to Continental Resources Inc.
  • Represented Infraestructura Marina del Golfo (IMG), a joint venture between TC Energy and Sempra, in its $1.56 billion unsecured refinancing for its natural gas pipeline Sur de Texas-Tuxpan, Mexico’s first undersea pipeline connecting the country with the U.S.
  • Represented Convergent Energy & Power, a portfolio company of Energy Capital Partners and leading provider of energy storage solutions, in the closing of a $584.5 million loan from the Federal Financing Bank guaranteed by the Department of Energy. The loan will finance the construction of a portfolio of solar power and battery energy storage systems across Puerto Rico.
  • Represented Pan American Energy Energias Renováveis in the acquisition of a major 423 MW greenfield wind project in Northeastern Brazil from Casa dos Ventos.
  • Represented Axion Energy in connection with its purchase of a gas station network and a sea terminal in Argentina from Trafigura, and in the multimillion-dollar disposition of its downstream assets in Paraguay and Uruguay.
  • Advised an international integrated energy company with operations across Latin America on the establishment and structuring of a joint venture investment platform with other global investment firms for the development of lithium related projects in Argentina, Bolivia and Chile.

International Trade

  • Assisted a U.S. medical research institute in securing U.S. government policy support and first-of-its-kind Office of Foreign Assets Control (OFAC) licensing for a high-profile joint venture with Cuba-based Center of Molecular Immunology.
  • Advised a client on the preferential duty benefits and rules of origin under the EU-Mexico Free Trade Agreement for its Mexican operations.
  • Represented a multinational energy company in a seven-year Foreign Corrupt Practices Act (FCPA) investigation by the U.S. Department of Justice (DOJ), Securities and Exchange Commission (SEC) and criminal prosecutors in Argentina.
  • Advised a U.S. private investment firm on U.S. trade policy developments, particularly in relation to obligations related to the U.S.-Chile Free Trade Agreement.

Lobbying & Public Policy

  • Representing the Promotora del Comercio Exterior de Costa Rica (PROCOMER), on behalf of the Ministry of Foreign Trade of Costa Rica (COMEX), on strategic U.S. trade policy developments and government relations matters.
  • Representing a leading global biopharmaceutical company on strategic government relations and public policy matters in Latin America. Advising on country-specific political and regulatory strategies, stakeholder engagement, and interactions with senior government officials to support the company's commercial and policy objectives. The representation includes providing strategic counsel on healthcare policy, market access, cross-border regulatory developments, and engagement with executive branch officials, policymakers, and other key stakeholders across the region.
  • Representing a multinational transportation and infrastructure company in connection with a high-profile investment dispute involving the Government of Mexico. Advising on government relations and international trade strategy related to U.S.–Mexico economic relations, including engagement with Congress, the Executive Branch, and other key stakeholders.
  • Provided a Mexican trade association with policy advice and advocacy related to international tax and trade.
  • Advised a Mexican agricultural association on lobbying and advocacy strategies before the U.S. Congress, the administration and state governments regarding a suspension agreement and antidumping proceedings with the Department of Commerce.
  • Negotiated entry into the Cuban marketplace for one of the world’s largest meat processors.

White Collar Defense & Government Investigations

  • Conducted a large internal investigation on behalf of a leading retail company in Brazil concerning allegations of fraudulent bank account and credit card manipulation.
  • Represented an entity in connection with the DOJ’s investigation into a multinational commodities company concerning alleged FCPA violations in Brazil and other jurisdictions.
  • Represented a senior executive of a global aerospace and defense company in an ongoing FCPA investigation related to business transactions in multiple countries. 
  • Represented three executives of a multinational industrial and technology company in an FCPA investigation involving a major Brazilian energy company.
  • Represented one of the largest construction companies in Mexico in connection with compliance advice regarding economic sanctions, anti-money laundering and combating the financing of terrorism regulations, anticorruption and national security matters.

  • Advised a major copper mining company in a multibillion-dollar dispute arising from severe tax measures, involving contractual claims and investor-state analysis.
  • Represented Smurfit in a $500 million ICSID arbitration against Venezuela arising from the expropriation of its investments in the paper-packaging industry.
  • Represented an energy company in a $1.5 billion ICC arbitration concerning non-completion of a farmout agreement in two offshore oil blocks in Brazil.
  • Represented an oil and gas company in a dispute relating to an exploration block offshore Mexico.
  • Represented a multinational energy company in an ICC arbitration concerning EPC design and construction defects at a hydrocarbon facility.
  • Represented one of the world’s largest mining companies in an ICC arbitration against an EPC contractor arising from a $1 billion+ cost overrun on a major mine expansion project.
