Biography
  • Assists clients in merger control proceedings and antitrust investigations before competition law authorities at the European and national level.
  • Provides counselling on merger control and competition law compliance.
  • Assists clients in national security and foreign direct investment assessments and multijurisdictional filings.

Marianna assists clients in connection with European and Italian competition law issues in merger control and antitrust proceedings before the European Commission (EC), before the Italian Competition Authority and in ensuing litigation before the European courts and the Italian administrative and civil courts. She has developed a broad experience in advising clients in foreign direct investment assessments at the European and national level and represents clients in the screening proceedings before the Italian government.

Prior to joining Akin, Marianna worked for another leading international law firm in Italy. She also gained considerable experience in antitrust and administrative law issues at the Attorney General’s Office in Rome.

Life Sciences

  • Represented a multinational pharmaceutical company on its EUR 2 billion sale of a controlling share to an investment fund. The transaction involved multijurisdictional merger control filings before the EC; the Competition and Markets Authority (CMA); the Federal Trade Commission (FTC); national competition authorities of Brazil, Colombia, Russia, Saudi Arabia and Turkey; and foreign direct investment filings in the United States (US), United Kingdom (UK), Italy and Germany.*
  • Represented a multinational pharmaceutical company on its EUR 1.5 billion acquisition of a direct competitor active in clinical laboratory services. The transaction involved merger control and foreign direct investment filings in Austria and Italy. *
  • Represented a multinational pharmaceutical company on the group restructuring with the entry of an investment fund into its share capital alongside other co-controlling entities. The transaction involved consultation with the EC and national competition authorities on the merger control implications of the reorganisation. *
  • Represented a multinational pharmaceutical company in an Article 101 Treaty on the Functioning of the European Union (TFEU) investigation before the Italian competition authority for an alleged anticompetitive agreement with a competitor. After the adoption of the infringement decision by the competition authority, the case involved litigation before the Italian administrative courts and two referral proceedings before the European Court of Justice. *
  • Represented a multinational pharmaceutical company in an Article 101 TFEU investigation before the Italian competition authority in connection with an alleged anticompetitive agreement with a competitor in the context of a public tender, which ended up with a rare dismissal of the case by the Italian authority and no imposition of fines upon the company. *
  • Represented a multinational pharmaceutical company in an Article 101 TFEU investigation before the Romanian competition authority for an alleged anticompetitive agreement with competitors and their trade association to set up a lobbying effort aimed at obtaining a change of a fiscal legislation. *

Energy

  • Represented a multinational electricity supplier in connection with the establishment of a joint venture to be active in the e-vehicles charging sector. The case involved merger control filings before the EC and before 13 worldwide national competition authorities, including a Phase 2 investigation before the Italian competition authority to which the case was referred under Article 9 EU Merger Regulation (EUMR). *
  • Represented a multi-utility company in the merger control filing of its acquisition of the business unit of an incumbent company active in the sale of natural gas to final customers in Italy. *
  • Advised a multi-utility company in the merger control aspects of the acquisition of a controlling shareholding in two companies active in the production and sale of power, biogas and heat from renewable sources and the establishment of two newly created companies for biogas production. *

Financial Services

  • Advised a financial technology (“fintech”) bank on the merger control aspects of its acquisition of joint control over a competing bank to operate in the open banking sector. *
  • Represented an investment fund in its acquisition of an information technology company on the merger control aspects and in the foreign direct investment filing before the Italian government. *

Fast-moving Consumer Goods

  • Represented a multinational retail groups in the Phase 2 merger investigation before the Italian Competition Authority of its EUR 15 billion sale of its overall Italian retail stores to a direct competitor. *

Industrial

  • Represented a leading Italian private security company in the merger control aspects of its acquisition of one of its closest competitors in the market. *
  • Represented a European producer of coloured polyester threads and yarns in the sale of its share capital to a leading competitor. The transaction involved multijurisdictional merger filings in Germany, Austria and Bulgaria. *

Telecom

  • Advised a state-owned company in connection with the merger control aspects of the structuring of a potential joint venture with an Italian telecommunication (“telecom”) company to co-manage the single national broadband network in Italy. *
