Representative Work

Represented VCA, a national pet care brand, during the course of its acquisition by Mars, Incorporated (Mars), at $93 a share in a transaction valued at approximately $9.1 billion. Oversaw the securities components of the deal, including obtaining shareholder consent via special proxy, various SEC filings and deregistration of VCA’s securities. VCA now operates as separate company and wholly-owned subsidiary of Mars.
Assisted a national owner/operator of hospitals in its sale of a medical center to the university with which it had been affiliated. The university’s academic medical system assumed ownership and day-to-day ownership of the facility. Facilitated the main transaction document for this deal and oversaw the various ancillary documents.
Advised one of the world’s largest private equity firms in its acquisition of a leading global online employment platform, specifically addressing cybersecurity and privacy issues. This involved analyzing and addressing issues related to a consumer website that routinely collects personal information from individuals.
Represented a multi-regional multi-platform publishing company in its acquisition by a private equity firm.
