Jeff Cohen represents a wide range of lenders, developers and investors in the development, financing, acquisition and disposition of large-scale infrastructure projects and energy projects, including renewable energy, telecommunications and emerging technology.

Jeff Cohen represents clients in all stages of development, from the initial stages of diligence through development, financing, construction, acquisition and divestiture.

Jeff Cohen’s representation includes:

  • Wind farm development, construction, financing and tax equity investment
  • Solar generation development, construction, financing and tax equity investment
  • Clean coal, biomass and other alternative energy projects
  • Large infrastructure projects, including water pipelines, airport infrastructure and energy power plants
  • Fiber optic cable development and financing
  • General corporate matters, including portfolio company formation, general corporate financing, and acquisitions and divestitures.
Representative Work

Significant recent representation includes:

  • Represented a consortium of equity bidders in connection with the design, build, financing and operation of the automated people mover project at Los Angeles World Airports (LAX). Representation included negotiation of the concession agreement, negotiation and preparation of the drop-down design build and operations agreements, structuring of the equity investment vehicle, negotiation of bank financing and public activity bonds.
  • Represented a syndicate of banks providing acquisition funding to EQT in connection with its acquisition of Gateway South Terminal at the Port of Los Angeles, one of the largest leading container terminals at the Port.
  • Represented a syndicate of banks providing construction and term financing for the design, construction and operation of a well field, pump stations, 142-mile water pipeline and terminus site in the San Antonio Water System carried out by the Vista Ridge consortium led by Garney P3 with the construction contract executed by Garney Construction. Named “North America Water Deal of the Year” by IJGlobal and Project Finance International (PFI).
  • Represented a syndicate of banks in the structuring of a tax equity liquidity program enabling financial institutions access to capital to make tax equity investments in renewable and general energy investments.
  • Represented a syndicate of lenders providing construction and backleverage structured financing to Lincoln Clean Energy for the construction and operation of the Tahoka Wind Farm located in Lynn County, Texas.

Infrastructure/Technology

  • Advised a consortium of equity bidders in connection with the design, build, financing and operation of the consolidated rental car facility project at LAX. Representation included advice and counsel on all matters of California law in connection with the negotiation of the concession agreement and formation of the equity investment vehicle.
  • Advised a nationally recognized airport operator in connection with a P3 modernization project at a major California airport, including advice on exclusive bidding arrangements.
  • Represented private equity in connection with the acquisition of and investment in various subsea cable systems located between the United States and Hong Kong, and from Hawaii to the West Coast of the United States.
  • Represented private equity in connection with the acquisition of and investment in various terrestrial cable systems located throughout the United States, including city-sponsored rollouts in California.
  • Advised a major chemical supplier in the design, construction, finance and operation of an ammonia and hydrogen facility for one of its off-take customers in Texas City, Texas. Representation included negotiation and preparation of the design, build and operations agreements, along with structuring and negotiating the financing to be provided.
  • Represented a nationally recognized toll operator in connection with the modernization and expansion of the Metro ExpressLane operations for Caltrans (California Department of Transportation). Representation included negotiation of the concession, operations and financing agreements.

Renewable Energy/Energy

  • Represented tax equity investors in the Acciona Energy sponsored San Roman Wind Farm located in Cameron County, Texas.
  • Represented tax equity investors in clean coal investments sponsored by CERT, Tinuum and DTE Energy.
  • Represented a syndicate of lenders providing structured backleverage financing backed by tranches of installed solar systems sponsored by Conergy Solar Systems.
  • Represented a syndicate of lenders providing backstop letter of credit financing for private equity/investment fund commitments in the financing of Cricket Valley Energy.
  • Represented a syndicate of lenders providing acquisition and operation and maintenance financing for Dighton Electric, a natural gas electric facility located in Dighton, Massachusetts.
  • Represented tax equity investors in the Enel Green Power North America sponsored Cimarron Bend Wind Farm located in Clark County, Texas.
  • Represented tax equity investors in the EON, GE Energy Financial Services and BlackRock Real Assets sponsored Grandview Wind Farm located in Carson County, Texas.
  • Represented a syndicate of lenders providing construction and backleverage structured financing to Invenergy Renewables for the construction and operation of the Santa Rita Wind Farm located in Reagan, Irion and Crockett Counties, Texas.
  • Represented a syndicate of lenders providing acquisition and operation and maintenance financing for a natural gas electric facility located in Milford, Massachusetts.
  • Advised a syndicate of lenders providing construction and backleverage structured financing to Pattern Energy for the construction and operation of the Grady Wind Farm located in Curry County, New Mexico.
  • Represented tax equity investors in the Pattern Energy sponsored Broadview Wind Farm located in Curry County and Deaf Smith County, New Mexico.
  • Represented tax equity investors in the Pattern Energy sponsored Broadview Wind Farm located in Comanche County, Texas.
  • Represented tax equity investors in the NextEra Energy Resources sponsored Hancock Wind Farm located in Britt, Iowa.
  • Represented bidders in the acquisition of Sempra Energy’s aggregate wind and solar asset portfolio.
  • Represented a syndicate of lenders providing structured backleverage financing in respect of SolaireHolman, a utility scale solar farm located in Brewster County, Texas.
  • Represented tax equity investors in multiple investments in tranches of installed solar systems sponsored by SunEdison including net metered, distributed generation and utility scale systems.
  • Represented tax equity investors in the restructuring and bankruptcy of SunEdison, including the restructuring and disposition of several tax equity investments in tranches of installed solar systems sponsored by SunEdison.
  • Represented tax equity investors in multiple investments in tranches of installed solar systems sponsored by SunPower.
  • Represented tax equity investors in multiple investments in tranches of installed solar systems sponsored by SunRun.
  • Represented a syndicate of lenders providing structured backleverage financing backed by tranches of installed solar systems sponsored by SunRun.
