Jeff Cohen represents a wide range of lenders, developers and investors in the development, financing, acquisition and disposition of large-scale infrastructure projects and energy projects, including renewable energy, telecommunications and emerging technology.
Jeff Cohen represents clients in all stages of development, from the initial stages of diligence through development, financing, construction, acquisition and divestiture.
Jeff Cohen’s representation includes:
- Wind farm development, construction, financing and tax equity investment
- Solar generation development, construction, financing and tax equity investment
- Clean coal, biomass and other alternative energy projects
- Large infrastructure projects, including water pipelines, airport infrastructure and energy power plants
- Fiber optic cable development and financing
- General corporate matters, including portfolio company formation, general corporate financing, and acquisitions and divestitures.
Significant recent representation includes:
- Represented a consortium of equity bidders in connection with the design, build, financing and operation of the automated people mover project at Los Angeles World Airports (LAX). Representation included negotiation of the concession agreement, negotiation and preparation of the drop-down design build and operations agreements, structuring of the equity investment vehicle, negotiation of bank financing and public activity bonds.
- Represented a syndicate of banks providing acquisition funding to EQT in connection with its acquisition of Gateway South Terminal at the Port of Los Angeles, one of the largest leading container terminals at the Port.
- Represented a syndicate of banks providing construction and term financing for the design, construction and operation of a well field, pump stations, 142-mile water pipeline and terminus site in the San Antonio Water System carried out by the Vista Ridge consortium led by Garney P3 with the construction contract executed by Garney Construction. Named “North America Water Deal of the Year” by IJGlobal and Project Finance International (PFI).
- Represented a syndicate of banks in the structuring of a tax equity liquidity program enabling financial institutions access to capital to make tax equity investments in renewable and general energy investments.
- Represented a syndicate of lenders providing construction and backleverage structured financing to Lincoln Clean Energy for the construction and operation of the Tahoka Wind Farm located in Lynn County, Texas.
