Biography
  • Maintains a broad international financing practice, with particular expertise in fund financing solutions.

Karen Ireland’s practice covers a wide range of domestic and international financial and corporate transactions, including:

  • fund financing
  • acquisition finance
  • asset-backed finance
  • real estate finance
  • structured and tax-efficient finance
  • derivatives
  • securitisation and receivables financing
  • finance leasing.

Karen has extensive experience in advising a diverse range of clients regarding cross-border financing solutions. She regularly counsels:

  • funds and sponsors
  • corporates
  • banks
  • government entities
  • development finance institutions 
  • other financial institutions.

Karen has particular expertise in advising on fund financing solutions. Those include acquisition, subscription, NAV and hybrid facilities, hedging transactions and TRS structures.

Representative Work
  • Advised various private equity funds in connection with finance requirements at fund and portfolio level, including subscription and NAV facilities.
  • Advised various private equity funds in connection with the acquisition and related financing of investment portfolios, including TRS structures.
  • Advised corporates and investment banks in connection with hedging.
  • Advised a number of mezzanine and unitranche fund lenders in connection with bilateral, unitranche and syndicated facilities.
  • Advised a prominent public limited company in connection with a £1.2 billion senior syndicated term and revolving facility.
  • Advised a multinational corporate in respect to its financial restructuring. That included restructuring £1.8 billion of bilateral bank debt into a single facility, the extension and redenomination of its £9 billion acquisition facility and the amendment of the terms of its £200 million notes.
  • Advised a major investment bank in connection with a £1.8 billion tax-efficient financing structure.
  • Advised a prominent plc in connection with the £625 million whole business securitization of certain of its subsidiaries.
  • Advised a prominent plc in connection with its issue of £350 million convertible bonds.
  • Advised a major bank in connection with its €2 billion Medium Term Note Program and related issue of notes.
