Biography

  • Advises on out-of-court workouts and restructurings.

Maggie represents institutional investors, investment funds and other lenders in complex debt financing transactions. She advises on secured and unsecured private placements of notes, direct lending facilities and other debt financing transactions involving borrowers across the credit spectrum and the globe in a wide range of industries.

Maggie’s experience includes representing lenders in cash flow and asset-based lending transactions, first and second lien financings, “one-stop” financings and mezzanine financings. She has extensive experience with cross-border transactions involving borrowers in Mexico and other Latin American jurisdictions, as well as the United Kingdom, Europe and Australia. She also advises lenders in out-of-court workouts and restructurings.

Representative Work
  • Represented the investors in a private placement of $115 million of senior notes issued by Procaps S.A., a Colombian prescription and over-the-counter drug developer and manufacturer. The notes were guaranteed by the group’s Luxembourg parent company, Procaps Group, S.A., and subsidiaries organized in various jurisdictions.
  • Represented the lenders in an A$90 million secured revolving credit and term loan facility for an Australian company in the construction equipment sector.
  • Advised institutional investors in a private placement of around €750 million of “green” senior notes issued by a subsidiary of Kingspan Group plc, an Irish manufacturer of insulation and building envelope solutions.
  • Advised institutional investors in a private placement of $200 million of senior notes jointly issued by two affiliated Mexican companies engaged in the operation of natural gas pipelines, natural gas distribution and related services.
  • Represented the lenders in a $32 million secured revolving credit and term loan facility for a U.S. borrower in the animal health and nutrition industry, with guarantees and security provided by affiliates organized in the United States and Ireland.
  • Represented institutional investors in a private placement of $140 million of senior secured notes issued by a U.S. affiliate of a Mexican provider of air taxi services. The notes were guaranteed by Mexican and U.S. affiliates and secured by liens on aircraft pursuant to Mexican law pledges recorded in Mexico and the United States.
  • Represented institutional investors in a private placement of A$250 million of floating rate guaranteed senior secured notes issued by the trustee of an Australian managed portfolio of real property interests.
  • Advised institutional investors in a private placement of €225 million of senior notes issued by an Italian manufacturer of thermal and acoustic elastomeric insulation materials. The notes were guaranteed by subsidiaries organized in Poland, Russia and the United States, and were issued in global note form.
  • Represented institutional investors in private placements of a total of £125 million of senior notes issued by Vale of Aylesbury Housing Trust, an English social housing association.
  • Represented institutional investors in a private placement of $90 million of senior notes issued by Ferreycorp S.A.A., a Peruvian distributor of construction, mining, agricultural and transport equipment, vehicles and machinery, and certain of its Peruvian and Chilean subsidiaries.
  • Advised institutional investors in a private placement of $90 million of senior secured notes issued by Giddings Fruit, S.A., a Chilean agricultural producer and distributor. The notes were guaranteed by subsidiaries organized in, and secured with collateral located in, Chile, Mexico, Peru and the United States.
  • Advised a U.S. insurance company and its affiliates in a “one-stop” financing of a U.K. holiday home and caravan manufacturer, including the issuance of floating rate senior secured notes, senior subordinated secured notes and junior loan notes.
