- Advises clients on a wide variety of commercial transactions, particularly in the formation and operation of private equity and hedge funds.
- Advises fund managers and sponsors on secondary transactions, including fund, portfolio company and asset restructurings.
Stuart provides tax advice to a wide array of sponsors in the alternative investment funds industry. He focuses primarily on the structuring, operation and investments of private equity, real estate, secondary, credit and hedge funds.
Stuart has extensive experience advising clients with sensitive tax profiles, including funds with various types of foreign and tax-exempt investors, on structuring complex real estate joint ventures. He also works with distressed companies on tax planning for the preservation and utilization of their net operating losses.
Stuart also has particular expertise in secondary transactions. He regularly counsels investors and sponsors in secondary transactions, including GP-led fund restructurings and primary investments.
- Advised Coller Capital in connection with the purchase of a portfolio of private credit fund interests from Ping An valued at $680 million, the world’s largest private credit transaction at the time.
- Represented Blackrock as co-lead investor in a $1.1 billion GP-led secondaries transaction in respect of the remaining assets of Kohlberg Investors VII.
- Advised Jasper Ridge Partners as co-lead investor in the successful acquisition of a slice of 26 growth portfolio companies valued at approximately $500 million.
- Counseled 890 5th Avenue Partners Inc., a tech, media and telecom SPAC, in connection with its combination with BuzzFeed Inc.
- Advised a real estate credit focused alternative asset manager in connection with the structuring of a series of fund vehicles established to invest in distressed residential mortgages and other opportunistic real estate credit investments, including through mortgage REITs.
