Biography
  • Focuses on representing institutional investors in privately placed debt and equity securities and other secured and unsecured financing transactions.
  • Represents institutional investors in cross border financing transactions involving issuers located in North America, Latin America, United Kingdom, Europe and Australia.

Tom O’Connor represents institutional investors, insurance companies, investment funds and other institutional lenders in connection with the acquisition of privately placed debt and equity securities and other secured and unsecured financing transactions involving issuers or borrowers located across the globe.

Tom’s representation of institutional investors includes mezzanine and acquisition finance transactions. He is experienced with the complex corporate law and intercreditor aspects of transactions, both in the United States and abroad, and in connection with the modifications and restructurings of such investments at other points in the business cycle.

Representative Work
  • Represented institutional investors in numerous domestic and cross-border private placements (both secured and unsecured), including transactions involving Coty, Inc.; Henry Schein; Luxfer Plc; The Vitec Group plc; the Messer Group; Croda International plc; Fibra Macquarie Mexico; Arriva plc; VastNed Retail; Gnutti Carlo S.p.A; Northumbrian Water Group; Total Produce plc; Piaggio & C. Sp.A.; Kingspan Group Plc; Wellington International Aiirport; Dyson Holdings Plc and FirstGroup plc.
  • Advised creditors on a range of cross-border workouts and financial restructurings, including Quinn Group, Technicolor S.A. (formerly Thomson S.A), Northgate plc and Connaught plc.
  • Acted for institutional investors in connection with subordinated debt and equity investments in connection with leveraged acquisition transactions.
